Definitions. Unless expressly stated otherwise, the activated terms used in this exhibition have the meaning defined in the agreement: 1.1. „Authorized Distributor“ refers to a company with a binding agreement with GitLab and is therefore authorized to distribute GitLab products and services to authorized resellers in the possession of authorized distributors and/or sites. In order to avoid any doubt, authorized distributors are not allowed to promote, sell and/or distribute GitLab products and services in a third-party marketplace or service without GitLab`s prior written consent. 1.2. „Authorized reseller“ refers to a company with a binding agreement with GitLab and is therefore authorized to resell GitLab products and services to end-users within the domain and/or approved sites for resellers. In order to avoid any doubt, authorized resellers are not allowed to resell GitLab products and services, (i) other authorized or third-party resellers other than an end user and/or (ii) in a third-party marketplace or service. 1.3. „Opportunity of completion“ refers to the possibility of selling GitLab products and services to a GitLab customer, for which the partner has the sole commitment to processing an order form or other transactional documents. To avoid any doubt, a chance of fulfillment does not contain any element of the sales or partner assistance opportunity initiated by partners. 1.4. „GitLab customer“ refers to an existing GitLab customer or a known potential Customer of GitLab, as evidenced by the inclusion in GitLab CRM or other tools. 1.5.
„GitLab Partner Portal“ refers to the submission and documentation available to partners to submit applications under the GitLab Partnership Program. 1.6. „GitLab Partnership Program Resources“ refers to the materials that GitLab makes available to the partner for use in marketing, redevelopment or the provision of recommendations for GitLab products and services. This also includes all access keys provided, developer notification information, evaluation instances, or any other material provided by GitLab Partner. 1.7. „Partner Initiative Opportunity or PIO“ refers to the ability to sell GitLab products and services to: a) net new end users or (b) a new net opportunity for an existing GitLab customer, which the partner presents through the GitLab partner portal. 1.8. „Partner Assist Opportunity“ refers to an opportunity to sell GitLab products and services to a GitLab customer, previously identified by GitLab, in which the partner plays an active role in the participation, demonstration and/or sale of GitLab products and services. Partner Assist Opportunity does not include sales opportunities initiated by partners and is defined at GitLab`s sole discretion. 1.9.
Partner Professional Services are professional services, including, but not limited, training, activations, best practices and advice offered by the partner to the end user. 1.10. „Resale, Resale or Resale“ refers to the partner that provides GitLab products and services to end-users, including the transfer of rights, rights and interests on GitLab products and services in accordance with GitLab`s terms and conditions (as defined here).
